Frazier & Deeter Offers New Services to Accounting Firms and Public Companies
Atlanta-based certified public accounting and advisory firm, Frazier & Deeter, announce the launch of three new service lines, led by former Director and Inspection Leader of the PCAOB.
( Atlanta - January 2006/December 2005)
The Enterprise Risk and Controls practice (ERC) of Frazier & Deeter can assist management with all phases of Sarbanes-Oxley 404 compliance. ERC services include project management assistance, technical support, risk assessment and scoping activities, documentation, evaluation and remediation of controls, training, quality assurance, and review. ERC services are also focused on helping Internal Audit Directors assemble specific skills to meet the requirements of their internal audit plan. ERC may augment existing staff, provide deep expertise for critical areas where it might be uneconomical to retain such skills in-house, or provide specific value-added solutions to meet critical business or departmental needs.

The Accounting and Risk Advisory Services (ARAS) of Frazier & Deeter can assist small and mid size public companies with technical accounting and reporting issues, include complex topics such as leases, stock options, debt versus equity assessments, derivatives and other difficult accounting areas. Recently ARAS has added three public company clients with revenues ranging from $xxx million to $1.2 billion.

The Audit Quality Advisory Services (AQAS) of Frazier & Deeter can assist PCAOB-registered accounting firms with pre-inspection review, post-inspection support and on-going quality control development and improvement. In addition, AQAS can assist with drafting responses to public and non-public portions of inspection reports and develop remediation plans as needed.

“As noted in the recently-released PCAOB's Report on the Initial Implementation of Auditing Standard No. 2, one of the key trends in Year 2 compliance for auditors should be to focus on improved efficiency of integrated audits”, comments Jeff McMinn, leader of the ERC practice. “A control rationalization by management will help focus management's testing strategy on the controls that are critical to the organization and reduces time spent by companies and auditors testing low-risk areas.”

At the recent AICPA National Conference on Current SEC &PCAOB Developments, members of the PCAOB Registration and Inspections division noted that 2006 will be the third year of the three-tear cycle for initial registrants. This means firms not inspected in the first two years can reasonably be expected to be inspected in 2006. “There are a large number of firms that have not been inspected in the first two years,” comments Seth McDaniel, partner of Frazier & Deeter, and former Associate Director with the PCAOB Inspections division. “The likelihood of these firms coming under inspection in 2006 is significant.”

As an extension of this offering, F&D ERCP can help public companies with their internal controls and compliance issues. Public companies today cannot survive having one CPA. They need one firm to give advice and the other to do the audit. It's the middle-market companies who can greatly benefit from F&D's expertise.

ERC is led by Jeff McMinn ( jeff.mcminn@frazierdeeter.com ). Jeff has extensive experience in assisting companies with 404 implementation and internal audit outsourcing and co-sourcing. Jeff recently joined us as a senior manager from a large, international accounting firm. ARAS is headed by Bill Godshall, a principal in the assurance practice at Frazier & Deeter (bill.godshall@frazierdeeter.com). Bill was a former inspection leader with the PCAOB and worked with two large, international accounting firms prior to joining the PCAOB. AQAS is headed by Seth McDaniel, a partner at Frazier & Deeter and a former director of the PCAOB (seth.mcdaniel@frazierdeeter.com ). In addition, Seth spent several years at two large, international accounting firms. Seth and Bill have extensive experience with publicly-traded companies. Their collective experience allows them to offer these unique services to PKF firms and their clients. For more details, contact Erinn Keserica at 404.253.7434 or email Seth, Bill or Jeff at the above addresses.
